David K. Bowsher

David K. Bowsher came to Adams and Reese in 2009 to continue to grow the firm’s already strong transactional and bankruptcy practices, as well as expand the firm’s governmental relations capacity. His practice focuses principally on corporate and transactional matters, including those involving troubled companies, and on bankruptcy and corporate restructuring issues. He also spends time in the firm's DC office on governmental relations matters.

Prior to joining the firm he worked most recently as Acting General Counsel and Deputy General Counsel at the United States Department of Commerce. During that time, he advised senior United States Government officials on a wide variety of issues, including providing financial assistance to distressed industries—e.g., the automotive and steel industries—foreign direct investment, Congressional oversight and investigations, coastal development litigation (particularly oil and gas-related development), export control licensing and enforcement, and Internet governance. He also co-led United States engagement with the People’s Republic of China on transparency in government as part of the Strategic Economic Dialogue and led United States participation in the United States-China Legal Exchange as part of the Joint Commission on Commerce and Trade.

He brings to bear:

  • Extensive corporate and transactional experience, including mergers and acquisitions, securities offerings, financing transactions, and capital raising efforts.

  • Deep background in all aspects of bankruptcy and corporate restructuring matters, with particular experience in § 363 asset sales in bankruptcy cases.

  • Real understanding of how Washington works—both in the Executive Branch and in Congress—from his service as a senior Department of Commerce official in the Bush Administration.

Before joining the Bush Administration, David was an Associate in the corporate and the bankruptcy and commercial departments of Wilmer Cutler Pickering Hale and Dorr LLP, and was elected counsel prior to his departure. While at WilmerHale, he advised clients on corporate restructuring and mergers and acquisitions—both in and out of bankruptcy—with a focus on mid-market industrial and telecommunications companies.

Additionally, he assisted high technology companies in a variety of commercial transactions, including the formation of strategic alliances, and in assembling suites of form documents—e.g., license, repeller, OEM, professional services and maintenance agreements—for use by their sales forces.

David served as a judicial clerk for Judge William H. Yohn, Jr. of the United States District Court for the Eastern District of Pennsylvania.

David is an elected member of the Board of Governors of the Republican National Lawyers Association (RNLA), the national organization of Republican attorneys, and he serves as the organization's Vice President for Judicial Affairs.
